Terms and Conditions

Introduction

Welcome to Whiz Developers. These terms and conditions govern your use of our software development and IT services.

By engaging our services, you agree to comply with and be bound by these terms. If you disagree with any part of these terms, please do not proceed with our services.

Services and Scope of Work

Whiz Developers agrees to provide software development and IT services as outlined in the project proposal or statement of work (SOW).

The client agrees to provide all necessary information, access, and cooperation required for the successful completion of the project.

Payment and Invoicing

The client agrees to pay Whiz Developers the agreed-upon fees as outlined in the project proposal or SOW.

Invoices will be issued according to the payment schedule outlined in the project proposal or SOW.

Late payments may be subject to interest charges as specified in the project proposal.

Intellectual Property

Whiz Developers retains the intellectual property rights to any pre-existing materials used in the development process.

Upon full payment, the client will own the intellectual property rights to the developed software or IT solution, unless otherwise specified in the project proposal.

Confidentiality

Both parties agree to keep confidential any information deemed proprietary or sensitive disclosed during the course of the project.

Warranty and Support

Whiz Developers provides a warranty period for its deliverables, as outlined in the project proposal.

Post-warranty support and maintenance can be provided under a separate agreement.

Limitation of Liability

Whiz Developers is not liable for any indirect, incidental, special, or consequential damages arising out of or in connection with our services.

Whiz Developers' liability for any direct damages is limited to the total fees paid by the client for the specific services that gave rise to the claim.

Termination

Either party may terminate the agreement with written notice if the other party breaches a material term of the agreement.

Governing Law and Dispute Resolution

This agreement is governed by the laws of [Jurisdiction]. Any disputes arising from or related to this agreement shall be resolved through arbitration in accordance with the rules of [Arbitration Organization].

Miscellaneous
